Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of ThankYou.Ad (the "Service"), operated by M0 Media Group ("we", "us", or "our"). By installing or using the ThankYou.Ad Shopify application, you agree to be bound by these Terms. If you do not agree, please uninstall the app and discontinue use.

2. Description of Service

ThankYou.Ad is a post-purchase advertising platform for Shopify stores. The Service enables:

  • Publishers (Shopify store owners) to display third-party advertisements on their order confirmation pages and earn revenue from ad impressions, clicks, and conversions.
  • Advertisers to display ads to post-purchase shoppers across the ThankYou.Ad publisher network, targeted by store category.

3. Eligibility

To use ThankYou.Ad, you must:

  • Operate an active Shopify store
  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the authority to bind yourself or your organization to these Terms
  • Comply with all applicable laws and Shopify's terms of service

4. Publisher Terms

4.1 Revenue Share

Publishers earn a revenue share from ads displayed on their order confirmation pages. The default revenue share is 70% of ad revenue generated through your store. We reserve the right to adjust revenue share percentages with 30 days' written notice.

4.2 Payouts

Earnings are accumulated and paid out when they reach the minimum payout threshold ($25.00 USD by default). Payouts are processed monthly. We reserve the right to withhold payouts if we suspect fraudulent activity.

4.3 Ad Content

We curate advertisements to ensure they are appropriate and relevant. However, you acknowledge that we cannot guarantee the content of all ads at all times. You may configure ad preferences (positioning, maximum ads per page) through your publisher dashboard.

4.4 Prohibited Practices

Publishers may not:

  • Artificially inflate impressions, clicks, or conversions (click fraud)
  • Modify, obstruct, or interfere with ad delivery or tracking
  • Use automated tools to generate false ad interactions
  • Misrepresent their store category or audience demographics

Violation of these practices may result in account suspension, forfeiture of unpaid earnings, and permanent removal from the platform.

5. Advertiser Terms

5.1 Campaign Setup

Advertisers create campaigns specifying target store categories, pricing model (CPC, CPM, or CPA), bid amounts, and budget limits. All campaigns are subject to review and approval before going live.

5.2 Ad Content Requirements

All advertisements must:

  • Be truthful and not misleading
  • Comply with all applicable advertising laws and regulations
  • Not promote illegal products or services
  • Not contain malware or redirect to malicious websites
  • Not infringe on any third-party intellectual property rights

5.3 Billing

Advertisers are billed based on their selected pricing model. Campaign spend is tracked in real-time and campaigns are automatically paused when daily or total budget limits are reached.

6. Intellectual Property

The ThankYou.Ad platform, including its design, code, algorithms, and branding, is the intellectual property of M0 Media Group. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent.

You retain ownership of your store's content and branding. By using the Service, you grant us a limited license to display third-party ads on your order confirmation page as configured through the app.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Any specific level of revenue or earnings will be achieved
  • Ad content from third-party advertisers will be appropriate for all audiences

8. Limitation of Liability

To the maximum extent permitted by law, M0 Media Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or alteration of your data
  • Statements or conduct of any third party (including advertisers) on the Service
  • Any other matter relating to the Service

Our total liability shall not exceed the amount of revenue share payments made to you in the 12 months preceding the claim.

9. Termination

You may terminate your use of ThankYou.Ad at any time by uninstalling the app from your Shopify store. Upon uninstallation:

  • Ad delivery to your store will cease immediately
  • Pending earnings above the minimum payout threshold will be paid out within 30 days
  • Your data will be retained for 90 days for payout processing, then deleted

We reserve the right to suspend or terminate your account at any time for violation of these Terms, with or without notice.

10. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
